These Terms & Conditions ("Terms") govern your access to and use of the EigenYields website, smart contracts, vaults, and any associated services (collectively, the "Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.
You represent and warrant that you have the legal capacity and authority to enter into these Terms and that you are not prohibited from using the Platform under any applicable law or regulation.
"Vault" means a non-custodial smart contract deployed on the Ethereum blockchain that accepts liquid staking tokens and deploys them into yield-generating strategies.
"Receipt Token"means the ERC-20 token issued to participants representing their proportional share of a Vault's assets.
"LST" means a liquid staking token such as rETH, stETH, osETH, cbETH, or any other token accepted by a Vault.
"NAV" means the Net Asset Value of a Vault, representing the total value of its underlying assets denominated in the relevant LST.
"PPS" means Price Per Share, calculated as NAV divided by the total outstanding shares, used to determine the value of each Receipt Token.
"EigenLayer" means the restaking protocol on Ethereum through which assets are delegated and allocated.
EigenYields operates as an EigenLayer operator and deploys non-custodial yield vaults on the Ethereum blockchain. The Platform provides a web interface for participants to view vault performance, claim receipt tokens, and initiate redemptions.
EigenYields is not a broker-dealer, exchange, custodian, or investment adviser. The Platform does not hold, control, or have custody of your assets at any time. All vault interactions occur through on-chain smart contracts. You are solely responsible for the security of your wallet, private keys, and any transactions you initiate.
Your use of the Platform requires a compatible Ethereum wallet. You are solely responsible for maintaining the security of your wallet and private keys. EigenYields has no ability to recover lost keys or reverse transactions.
All interactions with Vaults occur through immutable smart contracts deployed on the Ethereum blockchain. Blockchain transactions are irreversible. Once a transaction is confirmed on-chain, it cannot be undone, cancelled, or modified.
Vaults interact with third-party DeFi protocols including, but not limited to, Aave, Lido, and EigenLayer. These third-party protocols are not operated or controlled by EigenYields. Any risks arising from the use of these protocols, including smart contract vulnerabilities, governance changes, or operational failures, are borne entirely by you.

Participating in EigenYields Vaults involves significant risks. You should carefully consider these risks before using the Platform. Any decision to participate should be based on your own assessment of your financial situation and risk tolerance.
Vaults deploy assets into third-party DeFi protocols. These protocols introduce risks that are outside the direct control of EigenYields, including operational failures, governance attacks, smart contract vulnerabilities, changes in terms, or protocol insolvency. Such events can significantly affect the value of Vault assets.
Liquid staking tokens are subject to potential fluctuations in value, liquidity constraints, and changes in market dynamics. LSTs may temporarily or permanently trade below their expected value relative to ETH (depeg risk). A significant depeg event could impact Vault NAV and PPS, particularly where the Vault holds leveraged positions.
EigenYields infrastructure relies on smart contracts to interact with various DeFi protocols. Although EigenYields takes measures to mitigate these risks, including implementing security best practices and selecting established protocols, these measures cannot guarantee complete protection. Smart contracts may contain bugs, vulnerabilities, or logic errors that could result in loss of funds.
The value of assets and the yields generated by DeFi protocols can be impacted by general market sentiment, regulatory changes, technological developments, and macroeconomic events. Market downturns, liquidity shocks, or sudden price movements can affect the ability to maintain desired returns and may lead to capital losses.
Vault assets may be exposed to liquidation risks, particularly where leveraged positions are maintained. If the value of collateral falls below protocol-specified thresholds, assets may be liquidated at unfavourable prices. EigenYields operates with conservative loan-to-value ratios to mitigate this risk, but liquidation events can still occur during periods of significant market stress.
Execution risk arises from the possibility that strategies may not be implemented as intended due to network congestion, gas price spikes, technical failures, or delays in transaction execution. These factors can lead to suboptimal returns or direct financial losses.
The DeFi space is subject to evolving regulations across jurisdictions. Changes in regulatory frameworks could impact the operations of the Platform, the protocols it interacts with, or your ability to participate. Regulatory scrutiny could lead to restrictions or bans on certain activities.
During periods of market stress, DeFi protocols may experience reduced liquidity, higher slippage, or constrained redemption capacity. This may affect the ability to exit positions or redeem assets at expected values. Redemptions from Vaults are processed during settlement cycles and are not instantaneous.
Nothing on the Platform or in these Terms constitutes financial, investment, tax, or legal advice. The information provided is for informational purposes only. Past performance of any Vault does not guarantee or indicate future results. You are solely responsible for your own participation decisions and should seek independent professional advice where appropriate.
The Platform and all associated smart contracts are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express, implied, or statutory. No guarantee is made regarding the uptime, availability, security, accuracy, or reliability of the Platform or any information presented.
EigenYields does not warrant that the Platform will be uninterrupted, error-free, or free from harmful components. You use the Platform at your own risk.
Charts, graphs, APY projections, and other data displayed on the Platform are provided for illustrative purposes only and should not be relied upon as guarantees of future performance.
To the maximum extent permitted by applicable law, no contributor, developer, operator, or participant in the Platform shall be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Platform, including but not limited to loss of profits, loss of data, loss of digital assets, or business interruption.
In no event shall aggregate liability exceed the amount of fees, if any, actually received from you in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless EigenYields and its affiliates, contributors, developers, and operators from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.
The EigenYields name, logo, and associated branding are proprietary. The smart contract source code may be open source and subject to its respective licence terms. Nothing in these Terms grants you any right to use EigenYields trademarks or branding without prior written consent.
These Terms may be updated or modified at any time. Material changes will be communicated via the Platform. Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
EigenYields may, in its sole discretion, suspend, restrict, or terminate your access to the Platform at any time, for any reason, without prior notice or liability. This includes, but is not limited to, circumstances where your use of the Platform may violate applicable law or these Terms.
Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration. You waive any right to a jury trial and agree to resolve disputes on an individual basis. Class actions or representative proceedings are not permitted.
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
These Terms constitute the entire agreement between you and EigenYields regarding the Platform and supersede all prior agreements, understandings, and communications.
You may not assign or transfer your rights or obligations under these Terms without prior written consent. EigenYields may assign its rights and obligations without restriction.
